Welcome to AGC Event OS (agceventos.com), an event inventory, prop rental, and workflow management software platform owned and operated by Agrima Growth Catalyst Pvt Ltd ("Company", "We", "Us", or "Our"), a corporate entity registered in India, with its principal place of business at Ernakulam, Kerala, India.
By registering for an account, accessing, or using AGC Event OS (the "Platform"), or connecting your business communication channels to the Platform, you ("Tenant", "User", "You") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
1. Description of Service & User Roles
1.1 Platform Functionality:AGC Event OS is operational enterprise software designed for event props rental houses, event planners, decorators, inventory managers, and related business entities ("Tenants"). The Platform provides digital management tools for inventory tracking, order workflow automation, staff task assignment, and automated customer notifications.
1.2 End-Users:"End-Users" refers to event managers, event planners, decorators, rental clients, or any individuals receiving rental items, status notifications, or One-Time Passwords (OTPs) from or on behalf of a Tenant via the Platform.
2. WhatsApp Business Platform Integration
2.1 Tech Provider Status:The Platform operates as a Tech Provider as designated by Meta Platforms, Inc. ("Meta"), facilitating Tenant integration with the WhatsApp Business Platform (Cloud API).
2.2 Connection Method:Tenants connect their own business phone numbers through Meta's Embedded Signup flow. Tenant's use of the WhatsApp Business Platform is governed at all times by Meta's technical and operational rules in addition to these Terms.
2.3 Assisted Onboarding Authorisation:Tenants are frequently onboarded during a supported setup session. Where a Tenant requests assistance, Tenant expressly authorises Company personnel to initiate and complete Meta's Embedded Signup flow on the Tenant's behalf, and to create, link, or configure WhatsApp Business Accounts, business phone number connections, message templates, and webhook subscriptions within the Tenant's Meta business portfolio for the sole purpose of enabling the Platform's messaging features. This authorisation may be withdrawn in writing at any time and does not extend to any other action within the Tenant's Meta account.
2.4 Mandatory Meta Policy Compliance: By integrating WhatsApp capabilities within AGC Event OS, Tenant covenants to strictly adhere to:
- Meta's WhatsApp Business Messaging Policy
- Meta's WhatsApp Commerce Policy
- Meta's WhatsApp Business Terms
2.5 Automated Order Flows & Notifications: The Platform enables Tenants to schedule and send automated WhatsApp messages regarding order statuses, delivery and pickup confirmations, rental invoices, inventory updates, and internal staff task allocations. Tenant retains full control over, and responsibility for, configuring these automated triggers and their recipients.
2.6 Message Templates:Business-initiated WhatsApp messages must use templates approved by Meta. Company provisions templates on the Tenant's WhatsApp Business Account and submits them for Meta's review. Company does not control whether, when, or on what terms Meta approves, rejects, pauses, or disables a template.
3. WhatsApp Coexistence — Effects on Your WhatsApp Business App
3.1 What Coexistence Is:Meta's Coexistence onboarding allows a Tenant to connect a phone number that is already in use in the WhatsApp Business app, so that the Tenant can continue replying to customers from their phone while the Platform sends automated notifications through the Cloud API.
3.2 Changes to Your WhatsApp Business App:Tenant acknowledges that, upon completing Coexistence onboarding, Meta applies the following changes to the connected number, and that these changes are made by Meta and are outside Company's control:
- Broadcast lists become read-only; new broadcast lists cannot be created.
- Disappearing messages, view-once messages, and live location are disabled for individual chats.
- All linked companion devices are unlinked and must be re-linked. WhatsApp for Windows and WhatsApp for WearOS are not supported.
- Message throughput on the number is capped at a fixed rate set by Meta.
- Message edit and revoke become available in individual chats.
- Group chats, voice and video calls, and WhatsApp business tools (catalogue, orders, status) continue to work in the app but are not available through the Cloud API.
3.3 Data Synchronisation:Meta requires a one-time synchronisation of the Tenant's contacts and chat history within 24 hours of onboarding. As a result, Meta transmits to Company's systems up to 180 days of the Tenant's prior chat history, the Tenant's WhatsApp contacts, and a copy of messages the Tenant subsequently sends from the WhatsApp Business app. Company discards all such data and does not store, index, analyse, or display it. Tenant may decline to share chat history at the confirmation step in the WhatsApp Business app. See the Privacy Policy §2.C.
3.4 Disconnection: Tenant may disconnect the number at any time from the WhatsApp Business app under Settings → Account → Business Platform → Disconnect Account. Disconnection stops all automated messaging through the Platform.
4. Subscription Fees, Non-Payment, Taxes, and Meta Billing
4.1 Platform Subscription Fees & Payment Terms:
(a) Billing: Tenant pays Company subscription fees for access to the Platform in accordance with the billing plan selected during signup or specified in an applicable Order Form. Fees are billed in advance on a recurring monthly or annual basis.
(b) Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless Tenant cancels through the workspace settings or notifies Company at least fifteen (15) days prior to the renewal date.
(c) Failed Payment & Grace Period: If a recurring subscription payment fails, Company will extend a grace period of seven (7) calendar days to allow Tenant to update payment details.
(d) Administrative Service Suspension: If payment is not received before the expiry of the grace period, Company reserves the right to suspend Tenant's access to the Platform and pause automated messaging workflows.
(e) Reactivation & Account Removal: Suspended accounts may be fully reactivated upon payment of outstanding subscription fees. If an account remains suspended for non-payment for a continuous period of sixty (60) days without reactivation, Company reserves the right to permanently remove the Tenant account and purge associated data in accordance with §12.5.
4.2 Goods and Services Tax (GST) & Tax Treatment:
(a) GST Applicability: All fees quoted on the Platform are exclusive of applicable taxes. Where required by Indian tax legislation (including the Central Goods and Services Tax Act, 2017), applicable GST will be added to billing invoices.
(b) Small Business Threshold: If Company operates below the statutory threshold requiring mandatory GST registration under Indian tax law, GST will not be levied on billing invoices until such time as registration becomes legally required.
(c) Tenant GST Identification: Both GST-registered and unregistered entities may subscribe to the Platform. GST-registered Tenants shall provide a valid GSTIN at onboarding for tax invoice issuance. Place of supply shall be determined based on the Tenant's registered address or location provided.
4.3 Meta Usage Charges Are Billed Direct — Not Through Company: Tenant acknowledges and agrees that:
- Company operates as a Meta Tech Provider and does not hold or extend a credit line for messaging charges.
- Meta bills the Tenant directly for WhatsApp Business Platform usage, against a payment method the Tenant adds to the Tenant's own WhatsApp Business Account.
- Tenant must add a valid payment method to its WhatsApp Business Account. Without one, automated messages sent through the Platform will fail. Company is not responsible for messages that fail for this reason.
- Company neither collects, marks up, resells, nor receives any share of Meta's per-message charges. Meta's rates are set by Meta and may change at Meta's discretion.
5. End-User Consent, OTP Authentication, and Prohibited Conduct
5.1 Mandatory Opt-In Consent: Tenant represents, warrants, and guarantees that it has secured explicit, verifiable, and legally binding prior consent from all End-Users before dispatching any communications to such End-Users via the WhatsApp Business Platform or the Platform.
5.2 OTP Verification: AGC Event OS dispatches One-Time Passwords (OTPs) via WhatsApp for account login and verification. By entering a mobile number for login, Tenants and End-Users consent to receiving operational transactional OTP messages required for account security.
5.3 Prohibition of Unsolicited Messages (Spam): Tenants shall not use the Platform or WhatsApp integration to send unsolicited marketing messages, bulk promotional broadcasts, spam, or content promoting illegal, harmful, or prohibited goods and services under Meta's Commerce Policy or applicable Indian law.
5.4 Misuse & Platform Monitoring: Company reserves the right to monitor messaging throughput, audit compliance, and immediately suspend or revoke API access for any Tenant whose messaging behaviour generates excessive spam flags, user blocks, or policy violation notices from Meta.
6. Data Protection and Sub-Processors
6.1 Roles:In respect of End-User personal data, Tenant is the Data Fiduciary (Controller) and Company is a Data Processor acting on Tenant's documented instructions. In respect of Tenant account, billing, authentication, and platform telemetry data, Company acts as Data Fiduciary. See the Privacy Policy §1.
6.2 Processing Instructions & Safeguards: Company processes End-User personal data solely to provide the Platform in accordance with Section 8 of the Digital Personal Data Protection (DPDP) Act 2023 of India.
6.3 Sub-Processor Authorisation: Tenant authorizes Company to engage third-party sub-processors (including cloud hosting, messaging infrastructure, and AI search services) to provide Platform functionalities, provided such sub-processors adhere to security standards acceptable under applicable laws of India.
7. Intellectual Property, Anti-Cloning & Non-Compete
7.1 Platform Ownership: Company retains all right, title, and interest in and to the Platform, software, vector algorithms, interfaces, designs, database structures, and documentation. No licence is granted other than the limited right to use the Platform during an active subscription.
7.2 Anti-Cloning, Reverse Engineering & Non-Compete Restrictions: Tenant expressly covenants and agrees that it shall not, directly or indirectly:
(a) Copy or Clone: Copy, clone, mirror, duplicate, frame, or reproduce any portion of the Platform, including its user interface, order workflows, vector search mechanics, visual layout, or feature architecture;
(b) Reverse Engineer: Decompile, reverse-engineer, disassemble, decipher, scrape, or otherwise attempt to derive source code, underlying algorithms, API endpoints, or database structures of the Platform;
(c) Build Competing Products: Access or use the Platform for the purpose of designing, developing, building, marketing, or offering a competing software application, SaaS platform, or workflow tool targeting event props rental houses, event planners, decorators, or inventory managers;
(d) Competitive Benchmarking: Access the Platform for competitive monitoring, feature extraction, or benchmarking purposes.
Any breach of this Section 7.2 shall entitle Company to immediately terminate Tenant's account without notice or refund and seek injunctive relief, statutory damages, and legal costs in competent courts.
7.3 Tenant Data:Tenant retains all right, title, and interest in its inventory records, order data, customer lists, and uploaded content ("Tenant Data"). Tenant grants Company a non-exclusive licence to host, process, and transmit Tenant Data solely to operate the Platform.
7.4 Derived Data & Feedback:Company owns all aggregated, anonymised, and de-identified operational metrics or telemetry derived from Platform usage ("Derived Data"). If Tenant provides suggestions or feedback regarding the Platform, Tenant assigns to Company all rights to such feedback without obligation of compensation.
8. Third-Party Infrastructure & Meta Disclaimers
8.1 Meta Infrastructure Dependency: Message transmission relies entirely upon network services provided by Meta Platforms, Inc. and underlying telecommunication providers. Company guarantees no specific delivery speeds, response times, or message delivery completion rates.
8.2 Release of Meta-Related Liabilities: Company is not liable for:
- Rejection, delay, pausing, or disabling of WhatsApp message templates by Meta;
- Rejection or delay of Meta's own review of Company's or Tenant's applications, business verification, or account status;
- Temporary or permanent suspension, rate-limiting, or banning of Tenant's WhatsApp Business Account or Meta Business Portfolio by Meta;
- Charges levied by Meta directly against the Tenant (§4.3);
- Changes Meta makes to the WhatsApp Business app or Cloud API;
- Outages or disruptions originating from Meta's infrastructure.
9. Disclaimer of Warranties ("AS IS")
9.1 "AS IS" Provision:TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGC EVENT OS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
9.2 Third-Party Conduct: COMPANY DOES NOT WARRANT THAT THE PLATFORM IS IMMUNE FROM UNLAWFUL, NEGLIGENT, OR DANGEROUS USE BY OTHER TENANTS OR THIRD PARTIES.
10. Indemnification
10.1 Tenant Indemnity: Tenant agrees to defend, indemnify, and hold harmless Company, its directors, officers, employees, agents, and affiliates from and against any third-party claims, legal actions, liabilities, fines, penalties, losses, or expenses (including reasonable legal fees) arising out of or related to:
- Tenant's breach of these Terms or applicable laws;
- Tenant's failure to obtain proper opt-in consent from End-Users;
- Any illegal, dangerous, defective, or fraudulent rental props, inventory, or services offered by Tenant;
- Any violation of Meta's WhatsApp policies or third-party intellectual property or privacy rights by Tenant.
11. Limitation of Liability
11.1 Exclusion of Indirect Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM.
11.2 Aggregate Monetary Limit: THE TOTAL AGGREGATE LIABILITY OF COMPANY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF AGC EVENT OS SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY THE TENANT TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ₹10,000 (TEN THOUSAND INDIAN RUPEES), WHICHEVER IS LESS.
12. Account Termination, Data Export, and Removal
12.1 Termination for Convenience: Tenant may terminate its account at any time via workspace settings or by providing written notice at least thirty (30) days prior to the next renewal date.
12.2 Termination for Cause: Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice.
12.3 Data Export Window:Following termination or cancellation of an account, Tenant shall have a period of thirty (30) days ("Export Window") to request a JSON or CSV export of Tenant Data.
12.4 Permanent Deletion: After the elapsing of the Export Window, or upon sixty (60) days of continuous suspension for non-payment under §4.1(e), Company will permanently delete or anonymise Tenant Data and associated records, save where retention is required by law. Disconnecting the WhatsApp integration removes the stored Meta access token and connection record.
13. Service Level Target & Support
13.1 Service Availability: Company targets a service availability level of 95% uptime for core Platform features during each calendar month, excluding scheduled maintenance windows and third-party infrastructure outages (including Meta Cloud API disruptions).
13.2 Customer Support: Technical support inquiries may be submitted to [email protected]. Company endeavours to respond to support inquiries within seven (7) business days.
14. Changes to These Terms
Company reserves the right to amend these Terms to reflect updates in the Platform, Meta requirements, or applicable law. Material changes will be notified through the Platform or by email at least fifteen (15) days before taking effect. Continued use after the effective date constitutes acceptance.
15. Governing Law & Dispute Resolution
These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. Any legal action, suit, or proceeding arising out of or relating to These Terms or the Platform shall be instituted exclusively in the competent civil courts located in Ernakulam, Kerala, India.
